Terms of Use

The ground rules for using this website, and how it relates to the offering circular.

01Agreement

These Terms of Use govern your use of this website, operated by DeedFlow, Inc. ("DeedFlow", "we", "us"). By using the site you agree to them. If you do not agree, please do not use the site.

02No offer; the offering circular governs

Nothing on this website is an offer to sell, or a solicitation of an offer to buy, any security. DeedFlow's Royalty Revenue Bonds are offered under Regulation A only by means of the offering circular, which is part of the offering statement qualified by the U.S. Securities and Exchange Commission and is available on SEC EDGAR.

Summaries on this site, including the 8% Priority Return, the Royalty Pool percentages, the use of proceeds and the redemption schedule, are simplified. If anything here differs from the offering circular, the offering circular controls. Read it in full, including the risk factors: https://www.sec.gov/Archives/edgar/data/2143384/000168316826007293/deedflow_1aa1.htm

The SEC does not pass upon the merits of any securities or the terms of the offering, or the accuracy or completeness of any offering circular or other materials.

03Not investment, tax or legal advice

Content on this site is general information. It is not investment, tax, legal or accounting advice and does not consider your personal circumstances. Talk to your own advisers before investing.

Investing in the Bonds involves a high degree of risk, including the possible loss of your entire investment. Returns are not guaranteed, and past results of DeedFlow or its principals do not predict future results.

04Forward-looking statements

Statements about plans, strategies, markets, expected results or future events are forward-looking. They rely on assumptions and are subject to risks and uncertainties, so actual results may differ materially. We have no duty to update them except as the law requires.

05Using the site

You agree not to misuse the site, including by:

  • Submitting false information or someone else's details
  • Attempting to break, overload or gain unauthorized access to the site or its systems
  • Scraping or harvesting content or personal information by automated means
  • Using the site for anything unlawful

06Communications

When you submit a form you agree that we may contact you by email about your request. We contact you by phone or text only if you separately consent to that; consent is never a condition of investing. Reply STOP to any text to opt out and HELP for help. Our Privacy Policy explains how we handle your information.

Webinars are hosted on Zoom and may be recorded. Questions you ask in a webinar may be answered publicly to the audience.

07Intellectual property

The site and its content, including text, graphics, logos and photographs, belong to DeedFlow or its licensors and are protected by law. You may view and print pages for your own personal use. Any other use needs our written permission.

09Disclaimers

The site is provided as is and as available. To the fullest extent the law allows, we disclaim all warranties, express or implied, including accuracy, completeness, availability, merchantability and fitness for a particular purpose. We may change or remove content at any time.

10Limitation of liability

To the fullest extent the law allows, DeedFlow and its officers, directors, employees and agents are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits or data, arising from your use of, or inability to use, the site.

Nothing in these Terms limits any right you have under the federal securities laws, or any liability that cannot be limited by law. Your rights as an investor are governed by the offering circular, the subscription agreement and the indenture for the Bonds.

11Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Disputes about the site are resolved in the state or federal courts located in Delaware, unless the law requires otherwise.

12Changes

We may update these Terms from time to time. The date on this page shows the latest version, and continued use of the site means you accept the updated Terms.
