How the Bonds pay
A royalty on the work, paid to Bondholders first.
5%
of the gross sale price of every residential property DeedFlow sells, whether or not offering proceeds bought it.
Property Sale Royalty
10%
of the interest and penalty income DeedFlow receives on every tax lien redemption.
Lien Redemption Royalty
- 01
The Royalty Pool fills
Two contractual streams of DeedFlow's operating revenue feed the pool: the Property Sale Royalty and the Lien Redemption Royalty.
- 02
The 8% Priority Return comes first
The pool pays the 8% Priority Return on outstanding par. If a quarter falls short, the shortfall accrues as Accrued Shortfall, compounding at 8% a year, and is owed at maturity as an unconditional corporate obligation.
- 03
Excess is shared pro rata
Once the Priority Return and any Accrued Shortfall are current, what remains in the pool for the period is distributed pro rata to Bondholders as supplemental royalty income.
- 04
Par comes back at maturity
At year 10, DeedFlow redeems each Bond at $10.00 plus any unpaid Priority Return and Accrued Shortfall.
About 8% of gross proceeds ($2,000,000 at full subscription) goes into a Year 1 Interest Escrow, applied only to Priority Return shortfalls during the first year while the portfolio ramps up.

Before you invest
What you own, and what you do not.
Security for Bondholders
A first-priority security interest in the Royalty Pool collection account and DeedFlow's rights to the two royalties, held by an institutional Trustee for Bondholders. There is no direct lien on individual properties.
Book-entry ownership
Bonds are issued in book-entry form through T7X Equity, Inc., the SEC-registered transfer agent, whose records are the official record of ownership. Any Bond Token is an administrative index entry only, not a security and not evidence of ownership.
No trading market
No secondary market for the Bonds exists, and the company has no current plan to list them. Plan to hold to maturity or an optional redemption.
Who can invest
Open to accredited and non-accredited investors. A non-accredited investor may not invest more than 10% of the greater of annual income or net worth (Rule 251(d)(2)(i)(C)).
Investing in the Bonds involves a high degree of risk, including the possible loss of your entire investment. The 8% Priority Return is not guaranteed. Read the Risk Factors section of the offering circular before investing. Read the offering circular on SEC EDGAR.
